Effective from September 2, 2026 · Version 2026-09-02
1. Contract structure
The contract applying to each purchase consists of these General Terms, the Service Conditions for the purchased code, the order summary or checkout accepted by the customer, and the Privacy and Refund and Credit Policy referenced in the purchase flow.
If documents conflict, the order summary controls price, quantity, currency, applicable charges, total, duration and payment method; the Service Conditions control scope, input, output, limits, prerequisites, delivery and validity criteria; these General Terms control common matters. Mandatory law always prevails.
2. MachineSignal services
MachineSignal provides B2B digital services that may include automated checks, source monitoring, analysis, classification, prioritisation and practical or machine-readable outputs. Only the features identified in the applicable Service Conditions and accepted order summary are included.
Outputs are informational and, where applicable, probabilistic. They are not legal, tax, financial, regulatory or professional advice and do not guarantee sales, revenue, commercial outcomes, third-party updates or absolute accuracy.
3. Eligibility, purchase and contract formation
The customer must be a business or professional eligible for the B2B Italy scope and must provide accurate business and billing details. Each service may have different prerequisites, preliminary checks or purchase methods, described in its Service Conditions.
An order is accepted only through the path provided for that service. The contract is formed when MachineSignal confirms the order after verifying payment and any requirements stated in the applicable Service Conditions. Viewing a page, starting a request or failing to complete payment does not activate a service.
If payment is captured but the order cannot be accepted, MachineSignal will not start the service and will return the amount under the Refund and Credit Policy and the applicable tax procedure.
4. Accounts, credentials and security
The customer is responsible for safeguarding credentials, API keys and access codes and for requests made through them. Unauthorised access, suspected compromise or abnormal use must be reported promptly to MachineSignal.
MachineSignal may apply request limits and suspend access or processing where necessary for security, abuse, fraud, breach of these Terms or risk to the service.
5. Customer-supplied data
The customer warrants that supplied data is accurate, relevant, lawful and available for the requested purpose. Only necessary information may be submitted. Customers must not send special-category data, health data, criminal-offence data, data about minors, passwords, tokens, secrets or full payment-card data.
Where data relates to third parties, the customer is responsible for the lawful basis, notices and authorisations required, unless a separate written agreement states otherwise.
Where MachineSignal processes personal data on the customer’s documented instructions, activation of that use case may be conditional on a separate data processing agreement. Without such an agreement, the customer must provide only non-personal business data compatible with the service.
6. Permitted and prohibited use
Services may be used only for lawful B2B purposes consistent with their stated scope.
- Spam, unlawful outreach, abusive data collection and circumvention of technical limits are prohibited.
- Discrimination, unlawful profiling, surveillance, fraud and any unlawful use are prohibited.
- Outputs must not be the sole basis for automated decisions producing legal or similarly significant effects on natural persons.
- Bulk resale, reverse engineering and activity that compromises service security, availability or integrity are prohibited.
7. Outputs, customer control and external actions
The customer must review outputs before using them in internal processes, campaigns, commercial decisions or compliance work. Unless a specific function is expressly described, authorised and purchased, MachineSignal does not contact third parties, send messages, alter CRMs or other external systems, or make operational decisions for the customer.
8. Validity, credits and delivery
Each service defines its valid-input and valid-output criteria, frequency or completion time, delivery format and access period in its Service Conditions. Where a service uses credits, credits are consumed only under the specific rule disclosed before purchase. Invalid input, duplicates or technically unusable results are handled under the Service Conditions and Refund and Credit Policy.
9. Prices, payments, taxes and billing
Before payment is confirmed, the customer receives a summary showing service code, price, quantity, currency, applicable taxes or charges, total amount, whether the payment is one-time or recurring, and automatic-renewal status.
Approved payments are handled by the provider identified at checkout. MachineSignal does not store full card numbers or CVV. After verified payment, an invoice is issued under the applicable legal and tax setup. Internal accounting details, numbering and provider configuration are not commercial conditions of the service.
10. Duration, expiry and renewal
Service duration and any access or download period are stated in the Service Conditions and order summary. No service renews and no new charge is made automatically unless a future service expressly provides for renewal, the customer accepts it before purchase and can manage it as required by applicable law.
Without automatic renewal, every new period or pack requires a separate order and payment confirmation.
11. Refunds, errors and disputes
Common rules are set out in the Refund and Credit Policy. Service Conditions also define what counts as a valid result and the normal remedy for invalid checks, records or deliveries.
The customer may request review by identifying the order, service and reported issue. A valid and compliant result does not create an automatic refund merely because it does not produce the outcome expected by the customer.
12. Availability and changes
Temporary interruptions may occur because of maintenance, incidents, provider or external-source issues, or causes outside MachineSignal’s reasonable control. MachineSignal may update services, endpoints, limits or prices. Material changes affecting a purchased active service are communicated reasonably and do not retroactively alter an accepted order summary, except where required by law or agreed with the customer.
13. Support
The operational contact is info@machinesignal.it. Certified email: machinesignal@registerpec.it. Service levels or premium support apply only if separately described and accepted.
14. Limitation of liability
To the maximum extent permitted by applicable law, MachineSignal is not liable for indirect loss, loss of profit, business opportunity, revenue or goodwill, or decisions made by the customer using outputs.
For B2B customers, MachineSignal’s aggregate liability for claims relating to a purchased service is limited to the amount paid for the disputed order, except for wilful misconduct, gross negligence, mandatory liability or obligations that cannot be limited by law.
15. Governing law and jurisdiction
These Terms are governed by Italian law. For B2B customers, disputes relating to the contract, service, orders, payments, outputs, invoices or refunds are submitted to the exclusive jurisdiction of the Court of Milan, Italy, unless a mandatory rule requires otherwise.
16. Specific approval of onerous clauses
In the purchase flow, the B2B customer specifically approves, through a separate non-preselected acceptance where required under Articles 1341 and 1342 of the Italian Civil Code, sections 4, 8, 10, 11, 12, 14 and 15 of these General Terms and the sections expressly identified as onerous in the purchased Service Conditions.
